These Octagos Health Enterprise Standard Terms and Conditions are by and between:

(i) the Customer identified on an Order Form or, if not in the Order Form, the organisation using the Octagos Health Platform and Services (Customer); and

(ii) the appropriate Octagos Health entity as set out in the Order Form or, if not in the Order Form, as set out below (Octagos Health):

(a) If Customer is located outside the Americas, the following Octagos Health entity shall be a Party to the Agreement: Octagos Health Limited, a company incorporated and registered in England and Wales under number 10509541, with a registered office at 3rd Floor 1 Ashley Road, Altrincham, Cheshire, United Kingdom, WA14 2DT; or

(b) If Customer is located inside the Americas, the following Octagos Health entity shall be a party to the Agreement: Octagos Health Inc. with a registered
